Welcome to Nezzex Software Solutions. These Terms and Conditions govern your use of our website, client portal, and the purchase of software development services. By accessing our website or placing a service order, you agree to comply with and be bound by these terms. Please read them carefully before proceeding with any engagement.
1 Use of the Website & Client Portal
a.You must be at least 18 years of age to use our website, register an account, or enter into a service agreement with Nezzex Software Solutions.
b.You are responsible for maintaining the confidentiality of your client portal credentials, including your email address and password. Any activity under your account is your responsibility.
c.You agree to provide accurate and current information during registration, project scoping, and the checkout process. Inaccurate information may affect project delivery and payment processing.
d.You may not use our website, client portal, or services for any unlawful, fraudulent, or unauthorised purposes, including attempting to bypass security measures or gain unauthorised access to our systems.
2 Service Information & Pricing
a.We strive to provide accurate service descriptions, package scope details, and pricing information. However, we do not guarantee the completeness or accuracy of all information, particularly for custom project scopes which may be refined during the requirements phase.
b.Prices displayed on the website are in Sri Lankan Rupees (LKR) and are subject to change without prior notice. Any promotional discounts are valid for the specified period and may be subject to additional conditions.
c.Package prices represent fixed-scope deliverables. Any additional feature requests outside the agreed scope will be subject to a separate change order and additional charges.
3 Orders & Payments
a.By placing an order on our platform, you are making a binding offer to engage Nezzex Software Solutions for the specified software development service. Project commencement is subject to payment confirmation.
b.We reserve the right to refuse or cancel any order at our discretion, including but not limited to cases involving errors in service descriptions, pricing discrepancies, or suspected fraudulent activity.
c.You agree to provide valid and current payment information and authorise us to charge the agreed amount via your chosen payment method (PayHere online gateway, bank transfer, or Koko 3-installment plan).
d.Payment card processing is handled exclusively by PayHere, a PCI-DSS Level 1 certified payment gateway. Nezzex Software Solutions does not store, process, or have access to your full payment card details at any time.
e.For bank transfer payments, a 50% advance deposit is required to commence work. The remaining 50% balance is due upon final project delivery and client acceptance, before live deployment credentials are issued.
4 Project Delivery & Timelines
a.We will make every reasonable effort to deliver projects within the agreed timeline. Estimated delivery dates are communicated during the scoping phase and tracked in real-time via the client portal.
b.Delivery timelines may be affected by client-side delays such as late approval of designs, delayed content/asset submission, or changes in project scope. Nezzex Software Solutions shall not be liable for delays caused by the client.
c.Project milestones, progress updates, and stage completions are communicated via the client portal, automated SMS alerts, and email notifications.
5 Refunds & Cancellations
a.Our refund and cancellation processes are governed by our Refund Policy, which forms part of these Terms and Conditions. Please review it for full details on refund eligibility and procedures.
b.All approved refunds are issued exclusively to the original payment-initiated channel. No alternative refund methods will be used.
6 Intellectual Property
a.All website content, branding, design systems, marketing materials, and proprietary frameworks developed by Nezzex Software Solutions are protected by intellectual property rights and remain our property unless explicitly transferred in writing.
b.Upon full payment and project delivery, the client receives a perpetual licence to use the delivered custom software for their business. Source code ownership and transfer terms are specified in the individual project agreement.
c.You may not reproduce, distribute, or reverse-engineer any component of our proprietary platform, client portal, or internal systems without prior written consent.
7 Limitation of Liability
a.In no event shall Nezzex Software Solutions (Pvt) Ltd, its directors, employees, or affiliates be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your use of our services, website, or client portal.
b.Our total liability for any claim arising under these Terms shall not exceed the total amount paid by you for the specific service giving rise to the claim.
c.We make no warranties or representations, express or implied, regarding the uninterrupted availability of our website or client portal, as maintenance windows and technical updates may cause temporary downtime.
8 SLA & Post-Delivery Support
a.All software packages include a 12-month Service Level Agreement (SLA) covering bug fixes, performance issues, and security patches for the delivered software.
b.The SLA does not cover issues arising from client-side modifications, third-party service failures, or features outside the agreed project scope.
c.SSL setup and free domain configuration are included for the first year where applicable. Renewal costs for hosting and domain registration are the client's responsibility.
9 Amendments & Termination
We reserve the right to modify, update, or terminate these Terms and Conditions at any time without prior notice. Continued use of our website or services following any changes constitutes your acceptance of the updated terms. It is your responsibility to review these terms periodically for any changes.
Governing Law: These Terms and Conditions are governed by and construed in accordance with the laws of the Democratic Socialist Republic of Sri Lanka. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of Sri Lanka.
